Copyrighted Content:  music, movies or games that you do not own the rights to
Spam/SEO:  a site whose sole purpose is to gain Google ranking, Facebook “likes”, etc
Phishing:  a site meant to trick users into providing their username and password
Illegal Content:  content which may be illegal in the United States or under the laws of other countries
Scams:  get rich quick, pyramid, or other dubious schemes
File Hosting:  including sites that are not created with the PPN editor
Injurious Experience:  sites using the “Custom HTML” element that provide a horrible user experience, such as extreme flashing banners, excessive animated movement, or content that could provoke seizures in unsuspecting visitors
Illegal/Inappropriate Products: sites that offer or sell items that are illegal, weapons, counterfeit, stolen, fraudulent, infringing, violate rights of privacy/publicity, offensive, pornographic, or manufactured/intended to be weapons

4.  Indemnification.

 

You agree to indemnify, defend and hold harmless PPN , its officers, directors, employees, agents, licensors, suppliers and any third party information providers to the Service from and against all losses, expenses, damages and costs, including reasonable attorneys’ fees, resulting from any violation of this Agreement (including negligent or wrongful conduct) by you or any other person accessing the Service.

5.  Third Party Rights.

 
The provisions of paragraphs 2 (Use of the Service), and 3 (Indemnification) are for the benefit of PPN and its officers, directors, employees, agents, licensors, suppliers, and any third party information providers to the Service. Each of these individuals or entities shall have the right to assert and enforce those provisions directly against you on its own behalf.
 
6. Term; Termination.
 

This Agreement is a month-to-month, annual, and lifetime term and may be terminated by either party without notice at any time for any reason. The provisions of paragraphs 1 (Ownership, Licenses and Idea Submissions), 2 (Use of the Service), 3 (Indemnification), 4 (Third Party Rights) and 6 (Miscellaneous) shall survive any termination of this Agreement.

7. Current Payment Policy.

Effective immediately, the following payment policy MUST be adhered to. THERE ARE NO EXCEPTIONS, THE CONVERSION PROS (PPN) REQUIRES ALL MEMBERS TO READ, UNDERSTAND AND ADHERE TO THIS POLICY except by other written arrangements approved by PPN .

Our policy is to collect Membership payment on the date of service when we deliver products, and then charge the payment method on file, on each following monthly anniversary date, until which time the Member chooses to cancel their PPN Membership. Non-payment will result in your PPN account being suspended or terminated, depending on the severity of the delinquency.

If, for any reason, we send an invoice to you for any products or services, other than your Monthly Membership, payment must be sent within 30 business days of your receipt of the invoice, unless other PPN -approved arrangements have been made ahead of time.

If you have questions or concerns, or you feel that you have been charged incorrectly, please contact us IMMEDIATELY via Support Ticket through your PPN back office, so we can work together to find a solution.

We prefer to work payment issues out in a positive way and we try not to terminate Membership accounts, unless we have no other recourse.

8. Miscellaneous.
 
This Agreement shall all be governed and construed in accordance with the laws of United States applicable to agreements made and to be performed in United States. You agree that any legal action or proceeding between PPN and you for any purpose concerning this Agreement or the parties’ obligations hereunder shall be brought exclusively in a federal or state court of competent jurisdiction sitting in United States . Any cause of action or claim you may have with respect to the Service must be commenced within one (1) year after the claim or cause of action arises or such claim or cause of action is barred. PPN’s failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this Agreement. PPN may assign its rights and duties under this Agreement to any party at any time without notice to you. You are responsible for complying with all applicable laws in all of your actions related to your use of PPN’s services, regardless of the purpose of the use. In addition, you must adhere to the terms of this Acceptable Use Policy.
 
Your use of the service is at your sole risk. The service is provided on an “as is” and “as available” basis.
 
PPN does not warrant that (i) the service will meet your specific requirements, (ii) the service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the service will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations, and (v) any errors in the Service will be corrected.
 
You expressly understand and agree that PPN shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if PPN has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; (v) or any other matter relating to the service.
 
The failure of PPN to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and PPN and govern your use of the Service, superseding any prior agreements between you and PPN (including, but not limited to, any prior versions of the Terms of Service).

SOCIAL POWER WIFI GDRP COMPLIANCE

Enable GDPR Compliance on your campaigns in just a few clicks (mandatory for EU Channel Partners)

What is the GDPR Compliance function?

It is currently an optional and additional toggle as a part of the Compliance – Opt-In Form. If it is Enabled it will make the Guest Login Page (aka. Splash Page / Access Page / Campaign), and the data that is collected as part of the Guest Login process GDPR Compliant

It ensures GDPR Compliance by:

1) Performing tokenization of the Guest data collected as the Guest performs the Login Process (according the Terms of Service attached to that Campaign)

2) If the Guest does not complete the Login Process, this tokenized data is discarded within 48hours, during which time it is not accessible by any other systems

3) When the Guest successfully completes the Login Process they are presented the Opt-In Form which allows them to confirm their consent (Opt-In)

4) If the Guest confirms consent (Opt-In), the processes to run Automations on their data are activated and performed

5) If the Guest does NOT grant consent (Opt-Out) then we save a pseudonymized representation of the sensitive Guest data points [E-Mail and/or Phone Number]

6) The pseudonymized Guest data allows us to continue to perform functionality such as “One Click Welcome Back” and generate appropriate reports and data aggregations, but without being able to retrieve the actual Guest data, it cannot be used for any personally identifiable means or for further communication 

7) No Automations or Integrations will be processed on Guests who have indicated that they wish to Opt-Out

Will the Opt-In Form or GDPR Compliance be mandatory?

GDPR Compliance and usage of the Opt-In Form will be mandatory from May 25th 2018 for Channel Partners that operate within the EU or that process EU citizens’ data. 
Any organizations outside of that scope do not have to Enable the Opt-In Form or GDPR Compliance. We encourage you to use the Opt-In Form if you do any kind of Post-Login Guest communication, as a way of establishing a clear record of Guest consent.

Guest Wi-Fi users connecting to the platform, it is required that they first agree to the Guest Wi-Fi Terms of Service and Privacy Policy

For all Guest Wi-Fi Users connecting to the platform, it is required that they first perform an button action to indicate that they AGREE to the “I Agree to the Terms and Conditions” prior to using your Guest Wi-Fi Service

 

 

It is required that all Channel Partners include a legally equivalent version of the following Guest Wi-Fi Terms of Service and Privacy Policy:

Opt-In Consent Form

Ask Guest Wi-Fi users to confirm and opt-in to receive marketing messages and/or details of how will use their data.

What is the Opt-In Form?

It is an optional part of the the Login Page (i.e. Splash Page/Access Page/Campaign). It is presented to the Guest after they complete the Login process and before they view any post-login items. The Opt-In Form requires the Guest to select one of the two options presented to them to confirm their consent: 

  • Guest Consent Choices: Yes (top button) indicates (Opt-In), No (bottom text) indicates (Opt-Out)
  • The completion of the Opt-In Form is discretionary for the Guest
  • The Opt-In Form is an additional step, above and beyond the Guest Agreement to the Terms of Conditions, which is established as the first step of the Login Process

You may find compliance controls necessary to enable Guest Opt-In Consent and GDPR Compliance by Navigating from your Left Menu to Campaigns and click on “Add New Campaign” button or click on Edit button for an existing campaign.

Within the Advanced tab you will find the Compliance section:

  • The Opt-In Form text is customizable in the Campaign builder: Advanced tab, Compliance section; and needs to be in clear and plain, intelligible language appropriate for the activity and Location 
  • The Post-Login Process [Advertising Interstitial (optional), Thank You Page, Redirect (optional)] will not be performed until after the Guest has made a selection on the Opt-In Form
  • The Opt-In Form is intended to assist you in establishing Guest consent to processes that run after the Guest logins to the WiFi; such as but not limited to: E-Mail Newsletter enrolment, birthday e-mails, customer feedback requests, contests, etc.
  • If the Guest does not make any selection or leaves the Opt-In Form, it will be assumed that they made a selection to Opt-Out by Default

My Profile Opt-Out and Data Deletion Function

To ensure that Guest Wi-Fi Users have the right to request that their personal data be erased in certain circumstances.

Guest Wi-Fi Users have the right to request that their personal data be erased in certain circumstances, so we’ve made it easy for Guests request that their data be deleted based on lookup.

Every Channel Partner will be generated a unique link “My Profile” page on their Portal for Wi-Fi Guests to provide an easy way to view their profiles, show visits, opt-out and delete their personal information.

Upon request from a Guest Wi-Fi User to delete their personal data, MyWiFi will ensure that the relevant personal data is erased to the best of our abilities.

Upon deletion request, it is the responsibility of each Channel Partner to work with any relevant third parties (including but not limited to Automations set up in the platform) to make sure that they delete or anonymise the Users personal data.
